1. Agreement to Terms
By accessing or using any services provided by Basket Advisory ("Company", "we", "us"), including our website at basketadvisory.com and our technology platforms (Jirani, Tajiri, Basket Payroll, and Kazi Score), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2. About Basket Advisory
Basket Advisory is a professional services and technology company based in Bukoto, Kampala, Uganda, offering payroll outsourcing, project management, tax advisory, implementing partner support, and proprietary technology platforms across Uganda and East Africa.
3. Services
Our services include but are not limited to:
- Payroll outsourcing and processing (Uganda, Kenya, Rwanda, Tanzania, South Africa)
- Tax advisory and URA compliance support
- Project management across agribusiness, construction, logistics, PR and human capital sectors
- Implementing partner financial management for NGOs and donor-funded organisations
- Access to our technology platforms: Jirani, Tajiri, Basket Payroll, and Kazi Score
- Uganda Business Directory access
- Job listings and career advisory services
4. Client Obligations
Clients engaging Basket Advisory agree to:
- Provide accurate, complete, and timely information required to deliver services
- Make payments within agreed timelines as specified in individual service agreements
- Not share platform access credentials with unauthorised parties
- Comply with all applicable Ugandan laws and regulations
- Notify Basket Advisory promptly of any changes affecting service delivery
5. Payment Terms
All fees for services are as agreed in individual client proposals or service agreements. Payments are due as specified in each agreement. Late payments may attract a fee of 5% per month on the outstanding balance. All prices are quoted in Uganda Shillings (UGX) unless otherwise agreed. Basket Advisory reserves the right to suspend services for accounts with overdue balances exceeding 30 days.
6. Technology Platforms
Access to Basket Advisory technology platforms (Jirani, Tajiri, Basket Payroll, Kazi Score) is provided on a subscription basis. Platform access is non-transferable and limited to the organisation that subscribed. Data entered into our platforms remains the property of the client. Basket Advisory maintains data security standards appropriate for the nature of information handled.
7. Confidentiality
Basket Advisory treats all client information as strictly confidential. We will not disclose client information to third parties without explicit consent, except where required by Ugandan law or regulatory requirements, including requests from URA, NSSF, or other government bodies.
8. Intellectual Property
All content on basketadvisory.com, including but not limited to text, logos, graphics, platform code, and methodology, is the intellectual property of Basket Advisory. Clients may not reproduce, distribute, or use our materials without prior written consent.
9. Limitation of Liability
Basket Advisory provides services with professional care and diligence. However, we shall not be liable for losses arising from: client-provided inaccurate information; force majeure events; third-party system failures; or decisions made by clients based on our advisory output. Our total liability shall not exceed the fees paid for the relevant service in the preceding 3 months.
10. Termination
Either party may terminate a service agreement with 30 days written notice. Basket Advisory may terminate immediately for non-payment, breach of these terms, or illegal use of our platforms. Upon termination, clients retain access to their data for 30 days, after which data may be deleted.
11. Governing Law
These Terms are governed by the laws of the Republic of Uganda. Any disputes shall be subject to the jurisdiction of the courts of Uganda. We encourage resolution of disputes through mutual agreement before any legal action.
12. Changes to Terms
Basket Advisory may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms. We will notify active clients of material changes via email to solutions@basketadvisory.com.
