NGO Registration in Uganda โ Overview
NGOs operating in Uganda must be registered with the NGO Bureau under the Ministry of Internal Affairs, in addition to company registration with URSB. Operating as an NGO without a valid permit is a criminal offence under the Non-Governmental Organisations Act 2016.

Step-by-Step NGO Registration Process
Step 1: Register with URSB as Company Limited by Guarantee
- NGOs typically registered as companies limited by guarantee โ not by shares
- Prepare Memorandum and Articles of Association specifying NGO objectives
- Submit to URSB with director details and pay UGX 263,000 incorporation fee
- Receive Certificate of Incorporation โ usually 3 to 5 working days
Step 2: Apply to NGO Bureau
Required documents include: certified Certificate of Incorporation, Memorandum and Articles, list of board members with certified IDs, two character references, work plan and budget, bank reference letter, and for INGOs a letter of approval from home country headquarters.
Step 3: Vetting and Approval
- NGO Bureau vetting committee reviews applications โ takes 4 to 8 weeks typically
- Successful applicants receive NGO registration permit valid for 5 years
- Permit specifies districts where the NGO is permitted to operate
Annual Compliance Requirements for NGOs Uganda
- Annual returns to NGO Bureau: programme activity report and audited financial statements โ due 31 March each year
- Annual returns to URSB: within 60 days of company anniversary
- URA annual returns: income tax return even if tax exempt
- PAYE and NSSF: monthly compliance for all qualifying employees
