How to Register a Private Limited Company in Uganda
A Private Limited Company (Ltd) is the most common and recommended business structure for professional services firms, consultancies, technology companies, and most businesses in Uganda.
Step 1: Choose and Reserve Your Company Name
- Visit ursb.go.ug and search for your proposed company name to check availability
- Submit a name reservation application β costs UGX 15,000
- Name reservation is valid for 30 days
- Avoid names too similar to existing registered companies
Step 2: Prepare Your Incorporation Documents
- Memorandum of Association: States company name, objectives, share capital, and registered office
- Articles of Association: Internal governance rules for the company
- Form A1: Application for incorporation (available from URSB)
- Form A2: Particulars of directors and secretary
- Copies of national IDs or passports of all directors and shareholders
- Passport photos of all directors
Step 3: Submit and Pay
- Submit all documents at URSB Crested Towers counter
- Pay incorporation fee β UGX 263,000 for a private limited company with share capital below UGX 5 million
- Fees increase for higher share capital amounts
- Request for express processing (24 hours) costs extra β UGX 50,000 additional
Step 4: Receive Your Certificate
- Standard processing: 3β5 working days
- Express processing: 24 hours
- You receive a Certificate of Incorporation and a certified copy of Memorandum and Articles of Association
Step 5: Post-Registration Requirements
- URA TIN registration: Register for a Tax Identification Number at ura.go.ug β free, takes 1β3 days
- PAYE registration: If you will employ staff, register as a PAYE employer with URA
- NSSF registration: Register as an employer with NSSF if you have 5+ employees earning UGX 100,000+/month
- Business bank account: Open a corporate bank account β requires certificate of incorporation, TIN, and ID of directors
- Trading licence: Obtain a trading licence from KCCA (Kampala) or district local government
Annual Filing Requirements
Once registered, a private limited company must file annual returns with URSB every year β even if no business was conducted. Annual return filing costs UGX 30,000β50,000 and must be done within 60 days of the company's anniversary date. Failure to file on time attracts penalties.
